1. About us and these terms

1.1 These Terms and Conditions ("Terms") govern your use of the services provided by The Fertility Pharmacy, a trading name of Medica Forte Ltd ("we", "us", "our").

1.4 We supply prescription-only medicines at a distance (online and by other remote means). You can verify our registration and check that we are a legally operating online pharmacy via the GPhC register at https://www.pharmacyregulation.org/registers and, where displayed, by clicking the MHRA distance selling logo on our website.

1.5 Please read these T erms carefully before using our services. By placing an order, registering an account, or booking a nursing appointment with us, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must not use our services.

 

1.6 We may update these T erms from time to time (see clause 19). The version in force is the one published on our website at the time you place your order or book a service.

 

2. Definitions

In these Terms:

"Clinic" means the fertility clinic or other healthcare provider responsible for your treatment and for issuing your Prescription.

"Medicines" means the prescription-only medicines and any other products we supply to you.

"Nursing Service" means the service described in clause 9, under which we arrange for a registered nurse to attend your home to administer prescribed medication.

"Nurse" means a nurse registered with the Nursing and Midwifery Council (NMC) who provides the Nursing Service.

"Order" means your request to purchase Medicines and/or book a Nursing Service.

"Prescriber" means the doctor, nurse or other healthcare professional, registered and authorised in the United Kingdom, who has issued your Prescription.

"Prescription" means a valid, legal prescription issued to you by a Prescriber.

"You" / "your" means the patient or the person placing an Order on the patient's behalf.

3. Our services

3.1 We provide the following services:

(a) Dispensing and supply of Medicines — we dispense and supply prescription-only fertility medicines (and related products) to patients who hold a valid Prescription from a Clinic; and (b) Home Nursing Service — we arrange for a Nurse to attend your home to administer medication by intravenous (IV) or intramuscular (IM) injection, as directed by your Prescriber (see clause 9).

3.2 We are a dispensing pharmacy, not a prescribing service. We do not provide diagnosis, treatment advice or prescribing. The clinical decision about which medicines you are prescribed, and the directions for their use, is made by your Prescriber and your Clinic, who remain responsible for your overall treatment and care.

3.3 Our role is to dispense the Medicines accurately and safely against a valid Prescription, to provide the information and counselling required of a pharmacy, and to arrange a competent Nurse to administer medication in accordance with your Prescriber's directions.

3.4 Nothing in these T erms replaces or overrides the advice of your Clinic, Prescriber or treating clinician. If your Clinic's instructions differ from anything stated here in relation to your treatment, you should follow your Clinic's instructions and contact us if you are unsure.

4. Eligibility

4.1 To use our services you must:

(a) be at least 18 years old (or be a parent/guardian/carer ordering on behalf of a patient where lawful and appropriate); (b) hold a valid Prescription from a Prescriber for the Medicines you wish to obtain; (c) provide accurate, current and complete information about yourself and your health when requested; and (d) have a delivery address and (for the Nursing Service) a suitable home environment within the areas we serve within the UK.

4.2 We may decline to provide our services, or limit them, where we are unable to verify your identity or your Prescription, or where, in our professional judgement, it would not be safe, lawful or appropriate to do so.

5. Prescriptions

5.1 We will only supply prescription-only Medicines against a valid Prescription. We do not dispense prescription-only Medicines without one.

5.2 We will verify each Prescription before dispensing. This may include contacting your Clinic or Prescriber to confirm the Prescription validity and details. We may delay or decline to dispense until we are satisfied the Prescription is genuine, valid and clinically appropriate to dispense.

5.3 You are responsible for ensuring that any Prescription you provide, or that is sent to us on your behalf, is accurate and relates to you. It is an offence to obtain prescription-only medicines using a Prescription that is not validly issued to you.

5.4 Prescriptions are valid for a limited period under UK law (generally six months from the date on the Prescription for most prescription-only medicines, and shorter for certain controlled drugs). We cannot dispense against an expired Prescription.

5.5 The pharmacist may exercise professional judgement and decline to dispense, or contact the Prescriber, where there is a clinical concern, a discrepancy, a suspected interaction or any other proper reason. This is part of our duty of care and our obligations under GPhC standards.

5.6 Where a Prescription has been issued by your Clinic, the responsibility for the appropriateness of the medicine, dose and treatment plan rests with the Prescriber and Clinic. Our responsibility is to dispense accurately and safely in accordance with that Prescription.

6. Placing an order and forming a contract

6.1 You may place an Order through our website, by telephone, or by another method we make available, and/or by your Clinic sending us your Prescription on your behalf with your consent.

6.2 You may need to register an account and provide certain information. You are responsible for keeping your account details and password confidential and for all activity under your account.

6.3 All Orders are an offer by you to purchase Medicines and/or book a Nursing Service subject to these Terms. Your Order is not accepted until we confirm acceptance (for example, by email, by confirming the booking, or by dispatching the Medicines). A binding contract is formed only at that point.

6.4 We may refuse or cancel any Order where: we cannot verify the Prescription; a product is unavailable; we identify a pricing or description error; we have safety or legal concerns; or for any other proper reason. If we cancel an Order you have already paid for, we will refund the amount paid for the cancelled items.

7. Prices and payment

7.1 Prices for Medicines and the Nursing Service are as quoted to you or as displayed on our website at the time of your Order. We will tell you the total price (including any delivery or call-out charges and any applicable VAT) before you pay.

7.2 The supply of dispensed prescription-only medicines, and certain healthcare services, may be exempt from or subject to VAT depending on the nature of the supply. We will apply VAT in accordance with current law and show any VAT in your order summary or invoice.

7.3 Unless agreed otherwise, payment is taken at the time we accept your Order or before dispatch / before the Nursing appointment. We accept the following payment methods: Major credit cards, debit cards and digital wallets. Payments are processed by our payment provider Stripe.

7.4 We make every effort to ensure prices are correct. If we discover an error in the price of items you have ordered, we will contact you to ask whether you wish to continue at the correct price or cancel. If we cannot reach you, we may treat the Order as cancelled and refund any amount paid.

7.5 Prices may change from time to time, but changes will not affect Orders we have already accepted.

8. Delivery of Medicines

8.1 We deliver to the address you provide. It is your responsibility to ensure the delivery address and contact details are accurate and that someone is available to receive the delivery.

8.2 Temperature-sensitive medicines. Many fertility medicines must be kept refrigerated (cold- chain). Where your Medicines are temperature-sensitive:

(a) we will pack them appropriately to maintain the required temperature during transit; (b) you, or an authorised adult, must be available to receive the delivery in person and must refrigerate the Medicines immediately on receipt in accordance with the storage instructions provided; (c) you should inspect the package on delivery and report any concern about damage, temperature or condition to us immediately and in any event within 24 hours of delivery, so that we can advise you; and (d) we cannot accept responsibility for deterioration of Medicines caused by a failure to receive, refrigerate or store them correctly after delivery.

8.3 We will agree or notify an estimated delivery date or time window. We aim to meet delivery estimates but they are not guaranteed, and delays may occasionally occur for reasons outside our control.

8.4 Delivery is complete, and responsibility (risk) for the Medicines passes to you, when the Medicines are delivered to the address you provided or to a person who reasonably appears authorised to receive them on your behalf.

8.5 Failed deliveries. If delivery cannot be completed because no one is available to receive it, or the address is incorrect, we will contact you to arrange redelivery. A further delivery charge may apply, and for temperature-sensitive Medicines a failed delivery may mean the product can no longer be safely used and must be re-dispensed at additional cost.

8.6 Delivery charges, where applicable, will be shown before you pay.

9. Home Nursing Service

9.1 Where you book the Nursing Service, we will arrange for a Nurse to attend your home (or another agreed location) to administer medication that has been prescribed for you by your Prescriber, by IV or IM injection, in accordance with your Prescriber's directions.

9.2 Status of Nurses. The Nurses who provide the Nursing Service are provided through a third- party nursing agency. They are independent, NMC-registered professionals whom we source and coordinate on your behalf. They are not employees of Medica Forte Ltd, and they are responsible for their own clinical practice and professional conduct. We select agencies and Nurses with reasonable care and require that they hold appropriate NMC registration, competence and insurance.

9.3 All Nurses providing the Nursing Service will be registered with the Nursing and Midwifery Council (NMC) and competent to administer medication by the route required.

9.4 The Nurse will administer only the medication that has been prescribed for you, in the dose and by the route directed by your Prescriber. The Nurse does not prescribe and does not change your treatment plan. Any questions about your treatment, dose or regimen should be directed to your Clinic or Prescriber.

9.5 Your responsibilities. To enable the Nursing Service to be carried out safely, you must:

(a) be present at the agreed time and location, with valid identification if requested; (b) provide a clean, safe and suitable environment, with reasonable access, lighting and a place to safely dispose of clinical waste as advised; (c) ensure the prescribed medication, and any equipment you have been asked to provide, is available and has been stored correctly; (d) give the Nurse accurate and complete information about your health, allergies, current medication and any relevant changes; and (e) provide informed consent to the administration of the medication.

9.6 Clinical judgement. The Nurse may decline to administer medication, or may stop, where in their professional judgement it would not be safe or appropriate to proceed (for example, an unsafe environment, a clinical concern, a discrepancy in the prescription, or where consent is withdrawn). Where this happens, the Nurse will explain the position and, where appropriate, advise you to contact your Clinic or seek urgent medical attention. A call-out charge may still apply (see clause 9.8).

9.7 Booking, cancellation and rescheduling. Appointments should be booked in advance. If you need to cancel or reschedule, please give us at least 48 hours notice. Cancellations or changes made with less than the required notice, or a missed appointment, may incur a charge. We will tell you the call-out charge and cancellation terms before you book.

9.8 If the Nurse attends but is unable to administer the medication through no fault of ours or the Nurse (for example, because the medication is not available, has been stored incorrectly, or the environment is unsuitable), a call-out charge may apply.

9.9 The Nursing Service is not an emergency service. In a medical emergency, call 999. For urgent clinical concerns about your treatment, contact your Clinic or NHS 111.

10. Storage and use of Medicines

10.1 You are responsible for storing and using your Medicines correctly, in accordance with the storage instructions, the patient information leaflet, and your Prescriber's and our advice. This includes refrigeration where required.

10.2 You should read the patient information leaflet supplied with your Medicines and follow the directions of your Prescriber. If you have questions about how to use your Medicines, please contact us or your Clinic.

10.3 Please dispose of unwanted or expired Medicines safely — for example, by returning them to a pharmacy — and dispose of sharps and clinical waste as advised. Do not put them in general household waste or down the drain.

11. Cancellations, returns and refunds

11.1 Your legal cancellation rights. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you may, in some circumstances, have a 14-day right to cancel a distance contract. However, certain exceptions apply to our services, in particular:

(a) medicinal products — for reasons of health protection and safety, sealed Medicines that have been unsealed after delivery, and dispensed prescription medicines, cannot be returned; (b) goods made or supplied to your specification — Medicines dispensed against your individual Prescription are prepared specifically for you; (c) services that have started — where you have asked us to begin a service (such as a Nursing appointment) within the cancellation period and the service has been performed, the right to cancel is lost or may be reduced to a charge for what has been provided.

11.2 Dispensed Medicines cannot be returned for re-use. For patient safety and legal reasons, once Medicines have left our pharmacy we cannot accept them back into stock, re-use or resell them. We are therefore  unable to offer a refund or exchange on dispensed Medicines except where clause 11.3 applies.

11.3 Faulty, damaged or incorrect items. Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. If we send you the wrong Medicine, or a Medicine arrives damaged, defective or not as described, please contact us immediately and within 24 hours of delivery. We will investigate and, where appropriate, replace the item or provide a refund. Please do not use a Medicine you believe is faulty or has been damaged.

11.4 Nursing appointments. Cancellation and rescheduling of Nursing appointments are dealt with in clause 9.7.

11.5 Approved refunds will normally be made to the original payment method within 5-7 days.

12. Quality, recalls and safety

12.1 We source Medicines through the regulated UK supply chain. If a Medicine is subject to a manufacturer or regulatory recall, we will take reasonable steps to notify affected patients where we are able to identify them, and to advise on next steps.

12.2 If you experience a side effect or adverse reaction, contact your Clinic, your Prescriber or a healthcare professional, and in an emergency call 999. You can also report suspected side effects to the MHRA via the Yellow Card scheme at yellowcard.mhra.gov.uk.

13. Liability

13.1 We do not exclude or limit our liability to you in any way where it would be unlawful to do so. This includes liability for: death or personal injury caused by our negligence or the negligence of our employees or agents; fraud or fraudulent misrepresentation; any breach of your statutory rights in relation to the Medicines, including under the Consumer Rights Act 2015; and any other liability that cannot lawfully be excluded.

13.2 Subject to clause 13.1, and to the extent permitted by law:

(a) we are not responsible for the clinical decisions of your Prescriber or Clinic, including the decision to prescribe, the choice of medicine, the dose or the treatment plan; (b) because the Nurses are independent professionals provided through a third-party agency (clause 9.2), we are not liable for their individual clinical acts or omissions; our responsibility is limited to selecting the agency and arranging the Nursing Service with reasonable care and skill; (c) we are not liable for loss or damage that was not foreseeable, or that arises from your failure to follow storage, usage or delivery instructions, or from inaccurate information you provide; and (d) our total liability arising out of or in connection with the supply of any particular Order, other than for matters within clause 13.1, is limited to the price paid for that Order.

13.3 We are not liable for delays or failures in performance caused by events outside our reasonable control (for example, supply shortages, courier failures, extreme weather, or regulatory action), but we will take reasonable steps to minimise the effect and to keep you informed.

13.4 These Terms govern our relationship with you as patient/consumer. We do not exclude any rights you have under applicable consumer protection law.

14. Data protection and confidentiality

14.1 We take your privacy seriously. We process personal data, including special category data concerning your health, in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

14.2 We will use your information to verify your Prescription, dispense your Medicines, arrange and deliver the Nursing Service, communicate with your Clinic and Prescriber where appropriate, and meet our legal and professional obligations.

14.3 Full details of how we collect, use, share, store and protect your personal data, the lawful bases we rely on, how long we keep it, and your rights, are set out in our Privacy Policy at, which forms part of your agreement with us.

14.4 We maintain patient confidentiality in line with GPhC standards and applicable law. We will only share your information where you have consented, where it is necessary for your care, or where we are required or permitted to do so by law.

15. Complaints

15.1 We aim to provide a high standard of care. If something goes wrong, please tell us as soon

as possible so we can put it right.

15.2 If you remain dissatisfied after we have responded, you may be able to escalate your

concern:

For pharmacy matters: the General Pharmaceutical Council (GPhC) — gphc.org.uk.

For the conduct of a Nurse: the Nursing and Midwifery Council (NMC) — nmc.org.uk.

You may also be able to use an alternative dispute resolution / ombudsman service where applicable.

16. Communications

16.1 We may contact you by email, telephone, SMS or post in connection with your Order, your Prescription, delivery and the Nursing Service. These service communications are necessary to provide our services and are not marketing.

16.2 We will only send you marketing communications where you have given consent, and you can withdraw consent at any time.

17. Intellectual property

17.1 All content on our website and in our materials — including the names "The Fertility Pharmacy" and "Medica Forte", logos, text, graphics and design — is owned by or licensed to us and is protected by intellectual property laws. You may not copy, reproduce or use it without our written permission, except as necessary to use our services.

18. Events outside our control (force majeure)

18.1 We are not in breach of these Terms, nor liable for any delay or failure to perform, where this is caused by an event outside our reasonable control. If such an event occurs we will contact you as soon as reasonably possible and take steps to minimise the impact.

19. Changes to these Terms

19.1 We may amend these Terms from time to time, for example to reflect changes in law, regulation or our services. The current version will always be available on our website with the date it was last updated.

19.2 The Terms that apply to your Order or booking are those in force at the time you place it. Continuing to use our services after a change takes effect means you accept the updated Terms.

20. General

20.1 Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer our rights and obligations to another organisation, and will tell you if we do; this will not affect your rights.

20.2 Severability. If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in full force.

20.3 Waiver. A failure or delay by us in enforcing any provision is not a waiver of our right to do so later.

20.4 Third parties. These T erms are between you and us. No other person has any rights to enforce them, except as set out in clause 9.2 in respect of Nurses where applicable.

20.5 Entire agreement. These Terms, together with our Privacy Policy and any specific terms we provide for a particular service, form the entire agreement between us in relation to our services.

 

20.6 Governing law and jurisdiction. These T erms are governed by the law of England and Wales, and any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
